MrStubs Terms of Service

Provider: Black Asterisk LLC, a Wyoming limited liability company, d/b/a MrStubs
1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and Black Asterisk LLC ("MrStubs," "we," "us," or "our"). They govern your use of the MrStubs website, mobile applications, and services (together, the "Services"). By creating an account, buying a ticket, listing an event, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.
2. What MrStubs is, and what it is not
MrStubs is an event-ticketing platform. We provide software that lets event organizers ("Organizers") create event listings, sell admission tickets, and collect payment, and that lets attendees ("Buyers") discover events and buy tickets.
MrStubs is a technology platform and payment facilitator only. For every paid ticket:
- The Organizer is the merchant and seller of record. You are buying admission from the Organizer, not from MrStubs. MrStubs never takes title to, holds, or resells tickets, and never holds ticket funds.
- Payment for a ticket is charged directly to the Organizer's own connected payment account (currently Stripe; additional processors such as Square or PayPal may be added later). MrStubs charges only a service fee for use of the platform.
- MrStubs is not the organizer, promoter, or producer of any event and is not a party to the admission contract between the Organizer and the Buyer. We make no representation or warranty about any event, its content, its safety, or whether it will take place as described.
The Services are for event ticketing only. MrStubs does not provide food ordering, restaurant ordering, or any similar service.
3. Eligibility and your account
You must be at least 18 years old, or the age of majority in your state, to create an account or complete a purchase. See Section 12 (Children) of our Privacy Policy.
You are responsible for the accuracy of the information in your account, for keeping your login credentials secure, and for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorized use.
4. Buying tickets
4.1 You buy from the Organizer. When you buy a ticket, you enter a contract with the Organizer for admission to their event. Your card or payment method is charged on the Organizer's connected payment account. Your card statement and receipt will reflect the Organizer as the seller of record. MrStubs' role is limited to providing the platform and collecting a service fee.
4.2 Order confirmation and receipt. After purchase you will receive a confirmation that states: (a) the Organizer sold you the ticket and is the seller of record; (b) how to request a refund under the event's refund policy; (c) an itemized breakdown of the ticket price, the MrStubs service fee, and any tax collected; (d) who to contact for event questions (the Organizer) versus platform or technical questions (MrStubs); and (e) links to these Terms and our Privacy Policy.
4.3 Pricing, fees, and taxes. The ticket price is set by the Organizer. MrStubs adds a service fee, shown to you before you complete your purchase. Where tax applies, any tax collected is itemized and shown before you complete your purchase.
4.4 Refunds. Refunds are governed by our Refund Policy and by the individual refund policy the Organizer sets for the event. In short: the Organizer sets and honors the event's refund policy; MrStubs does not. The MrStubs service fee is non-refundable except where the refund results from a MrStubs platform fault. 4.5 Delivery and access. Tickets are delivered electronically. You are responsible for presenting a valid ticket for entry as the Organizer requires.
4.6 Transfers and validity. A ticket may be transferred to another person only if the Organizer's rules and applicable law allow it; MrStubs does not guarantee any transfer. A ticket that has been refunded, voided, or issued for a canceled event is no longer valid and may not be used for entry. The Organizer is responsible for verifying ticket validity at the door. MrStubs is not responsible for tickets acquired outside the Services or for any fraudulent, duplicate, or invalidated ticket.
5. Listing events (Organizers)
If you use the Services to list events and sell tickets, the MrStubs Organizer Agreement also applies to you and controls the commercial and payment terms of your use. Where these Terms and the Organizer Agreement conflict on an Organizer matter, the Organizer Agreement controls.
Organizers must connect a supported payment account, comply with our Community Guidelines , and obtain all licenses and permits required for their events (Section 11).
Free events may be listed with unlimited seats by default; an Organizer may choose to cap capacity for any event.
6. Acceptable use
You agree not to: use the Services for any unlawful purpose; list, promote, or sell prohibited events or goods (see our Community Guidelines ); resell or scalp tickets in violation of an Organizer's terms or applicable law; scrape, harvest, or make automated bulk use of Site content; interfere with the security or integrity of the Services; upload malware; impersonate any person or misrepresent an affiliation; or infringe anyone's intellectual property, privacy, or other rights.
We may remove content, cancel listings, or suspend or terminate accounts that violate these Terms or our Community Guidelines.
7. Your content and licenses
You retain ownership of the content you submit (event descriptions, images, logos, "Your Content"). You grant MrStubs a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute Your Content solely to operate, promote, and improve the Services, including displaying event listings to Buyers. You represent that you have the rights to grant this license and that Your Content does not infringe third-party rights.
This license ends when you delete Your Content, except for (a) copies already shared with or saved by other users, (b) backup and legal-retention copies kept for a reasonable period, and (c) copies needed to operate the Services or comply with law.
7.1 Feedback. If you send us ideas or suggestions about the Services, we may use them without restriction or any obligation to you.
8. MrStubs intellectual property
The Services, including the MrStubs name, logo, software, and design, are owned by Black Asterisk LLC and protected by law. We grant you a limited, revocable, non-transferable license to use the Services for their intended purpose. No other rights are granted.
9. Copyright and takedown (DMCA)
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512). Our designated agent is Bobby G. Watkins of Black Asterisk LLC, registered with the U.S. Copyright Office DMCA Designated Agent Directory under registration number DMCA-1075410. Send notices to our designated agent at [email protected]. We may remove infringing content and terminate repeat infringers.
Counter-notice. If your content was removed and you believe that was a mistake, you may send a counter-notice under 17 U.S.C. § 512(g) to our designated agent, including your signature, identification of the removed material and where it appeared, a statement under penalty of perjury of good-faith belief that the removal was a mistake, your contact information, and your consent to the jurisdiction of the federal court for your district (or, if outside the U.S., any district in which we may be found). If the original complainant does not file suit within 10 business days, we may restore the content.
Repeat infringers. We terminate the accounts of users who repeatedly infringe others' intellectual property.
Trademark complaints. To report trademark infringement, contact [email protected].
10. Third-party services and payment processors
Payments are processed by third-party payment processors — currently Stripe; additional processors such as Square or PayPal may be added later. Your use of a processor is subject to that processor's own terms. MrStubs does not store your full card number. Card data is handled by PCI-DSS-compliant processors. We are not responsible for the acts or omissions of third-party processors, venues, or other third parties.
11. Licenses, permits, and Organizer responsibility
Organizers, not MrStubs, are responsible for obtaining all licenses, permits, insurance, and approvals required to hold an event and to sell admission, and for complying with all laws applicable to the event, including consumer-protection, tax, health, safety, alcohol, and accessibility laws.
12. Disclaimers and assumption of risk
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MrStubs does not warrant that any event will occur, be safe, or be as described. You attend events at your own risk. Because MrStubs is not a party to the admission contract, disputes about an event are between the Buyer and the Organizer. Features we label as beta, preview, or experimental are provided as-is, may change or be withdrawn at any time, and carry no warranty.
Assumption of risk at in-person events. Attending an in-person event involves inherent risks, including the risk of illness, bodily injury, disability, or death, and the risk of lost or damaged property. You knowingly and voluntarily assume all such risks when you attend. Because MrStubs is not the Organizer or host of any event and is not present at it, MrStubs is not responsible for what happens there, and any claim arising from an in-person event is against the Organizer, not MrStubs.
13. Release
Because MrStubs is only the platform and is not a party to the contract between a Buyer and an Organizer, you release MrStubs and its affiliates, officers, and employees from any claim, demand, or damages arising out of or connected to any dispute between you and an Organizer, between you and another user, or between you and any third party relating to an event, a ticket, or your use of the Services. This release covers both known and unknown claims relating to such disputes.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MrStubs AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES OR FROM ANY EVENT. MrStubs' TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (a) THE TOTAL MrStubs SERVICE FEES YOU PAID TO MrStubs IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) US $100.
15. Indemnification
You agree to indemnify and hold harmless Black Asterisk LLC and its affiliates, officers, and employees from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Services, your content, your events, or your violation of these Terms or of any law or third-party right.
16. Dispute resolution; governing law; venue
Dispute resolution; governing law; venue. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction and waives objection to that venue. YOU AND MRSTUBS EACH WAIVE ANY RIGHT TO A JURY TRIAL.
17. Term and termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms, our Community Guidelines, or the law, or to protect the Services or other users. Sections that by their nature should survive termination (including 7–8 and 12–16) survive.
Deleting your account. You may delete your account at any time from within the app or by contacting [email protected]. When you delete your account we will close it and delete or de-identify your personal information, except for records we must keep for legal, tax, accounting, dispute-resolution, or fraud-prevention purposes (see the Privacy Policy). Deleting your account does not cancel obligations already incurred — for example, an Organizer remains responsible for events already sold, and completed purchases remain subject to the event's refund policy.
18. Changes to these Terms or the Services
We may modify these Terms. We will post the updated Terms with a new effective date and, for material changes, provide reasonable notice. Changes are not retroactive and will not reduce the rights of a Buyer who already completed a purchase under prior terms. Your continued use after the effective date means you accept the change.
19. Assignment
You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
20. Notices
We may give notice by email to the address on your account or by posting in the Services. Send legal notices to us at [email protected] or Black Asterisk LLC, 30 N Gould St Ste R, Sheridan, WY 82801-6317, Attn: Legal.
21. Governing law and venue
Governing law, venue, the jury-trial waiver, and dispute resolution are stated in Section 16 (Dispute resolution; governing law; venue), which controls.
22. Export controls and restricted parties
You may not use the Services in violation of U.S. export-control or sanctions laws, and you represent you are not on a U.S. restricted-party list. The Services are offered in and directed to the United States only.
23. Miscellaneous
These Terms — together with the Organizer Agreement (for Organizers), the Privacy Policy, the Refund Policy, the Community Guidelines , and the Cookie Notice — are the entire agreement between you and MrStubs on their subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Nothing here creates a partnership, agency, or employment relationship. Neither party is liable for a failure to perform caused by events beyond its reasonable control.
